Terms of Use

Introduction

Permission.io, Inc. (“Permission,” “we,” “our,” or “us”) operates a platform designed to help individuals and families manage digital experiences through parent-led controls, make informed choices about data use, and participate in optional reward programs. Our Services include our websites, applications, browser-based tools, and related features (collectively, the “Services”).

These Terms of Use (“Terms”) describe the rules that apply when you access or use the Services. They form a legally binding agreement between you and Permission.

By accessing or using the Services, you agree to these Terms. Please read them carefully. If you do not agree, you may not use the Services.

How the Permission Platform Works

The Permission platform supports different participation models, depending on who you are and which features you use. These models have different eligibility requirements, controls, and rules. In general:

  • Parents may create accounts, subscribe to the Services, and manage household and child experiences.
  • Children may use limited, child-facing features only under a parent’s account and authority.‍
  • Eligible individuals may use certain features of the Services, including the Permission Agent, to participate in optional, explicit earning opportunities.

These Terms explain how each role works and what rules apply. Where features have different eligibility, consent, or compliance requirements, those features are described in separate sections below. 

Eligibility and Age Requirements

Parent Account Holders

To create an account and act as a parent account holder, you must:

  • Be at least eighteen (18) years old; and
  • Have the legal authority to act on behalf of any child profiles you create or manage.

Parents are the account owners, subscribers, and decision-makers. All configuration, permissions, controls, insights, subscriptions, and reward governance occur at the parent level.

Child Profiles

Children do not create accounts and are not parties to these Terms. Child profiles:

  • Exist solely as dependents under a parent account;
  • Are provisioned, configured, and managed by a parent; and
  • Do not subscribe, enter contracts, or independently earn, withdraw, or control digital assets.

Child-facing features are intended for children ages 4+, and all child data is processed under a parental consent and parent-controlled model, consistent with applicable law.

Children may access only limited child-facing features through a parent account and under a parent’s authority and consent, and any data associated with a child profile is processed as part of the parent’s household account.

Parents are responsible for ensuring that child-facing features are used only by children within the intended age range.

Individual Users and Earning Features

Certain features of the Services allow eligible individuals to participate in optional earning opportunities, including through the Permission Agent. To use these features, you must:

  • Meet the minimum age required by law in your jurisdiction (for example, thirteen (13) or older in the United States, unless otherwise specified); and
  • Participate through explicitintentional, opt-in actions

Earning features are not available to child profiles and are governed by separate eligibility, consent, and reward rules described in these Terms. These features are never available to child profiles and are not accessible through child-facing surfaces.

Additional terms for the Permission Agent are provided in the “Rewards, ASK Tokens, and Wallet Functionality” and related sections below. 

Account Management

Account Creation and Ownership

Permission accounts are owned and controlled by the individual who creates the account (the “Account Owner”).

For household use cases, the Account Owner is the parent or legal guardian. Parents are responsible for all activity associated with their account, including any child profiles, devices, configurations, and permissions managed under the account.

Account Owners must provide accurate and complete information when creating an account and must keep their account information up to date.

Parent Accounts and Household Management

Parents may create and manage a household account that includes one or more child profiles.

Under a parent account, the parent may:

  • Create, configure, and delete child profiles
  • Associate devices or applications to a child profile
  • Configure site access controls, schedules, goals, and settings
  • Review parent-facing insights and activity summaries
  • Approve or deny requests initiated through child-facing surfaces
  • Manage subscriptions, rewards, and wallet activity associated with the household

The Parent owner remains the sole decision-maker and custodian for all household-level settings, data permissions, and rewards.

Child Profiles (Dependent Profiles)

Child profiles are dependent profiles under a parent account and are governed by the 'Eligibility and Age Requirements' section above. If a child approaches or reaches the age of majority, account status, consent, and access may be subject to transition requirements consistent with applicable law. For details on how Permission handles the transition to adulthood for child profiles, please review our Privacy Policy.

Account Security and Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to:

  • Use strong authentication methods where available
  • Not share your login credentials with others
  • Promptly notify Permission if you suspect unauthorized access

Permission may suspend or restrict access to an account if we believe account security has been compromised.

One Account per Household

The platform is designed around a household/family entity with:

  • a Parent Owner (account owner/subscriber) and
  • a Parent +1 (authorized secondary parent)
  • and any number of children accounts

Unless expressly authorized by Permission, each individual may maintain only one account.

Creating multiple accounts to bypass eligibility requirements, reward limits, or security controls is prohibited and may result in suspension or termination of access to the Services.

Suspension, Restriction, and Termination

Permission may suspend, restrict, or terminate access to all or part of the Services if we reasonably believe that:

  • These Terms have been violated
  • The Services are being used in a manner that poses legal, security, or safety risks
  • Continued access would expose Permission, users, or third parties to harm

Where appropriate, we may provide notice and an opportunity to remedy issues, but we are not required to do so in all cases.

Account Inactivity, Notice, and Data Deletion

Inactivity Defined

Your account is considered inactive if no user-initiated activity has occurred, and no referral network earnings have been credited to your account, for a continuous period of twenty-four (24) months. User-initiated activity includes logging in to the Services, engaging with product features, or otherwise interacting with the Services in a manner that indicates ongoing use. Automated, system-generated, or background activity does not constitute user-initiated activity for purposes of this Section. For the avoidance of doubt, the crediting of referral network earnings to your Pending Balance constitutes account activity for purposes of this Section. 

Notice and Opportunity to Reactivate

Before permanently deleting an inactive account, Permission will send the following notices to the email address associated with your account. It is your responsibility to maintain an accurate and accessible email address on file. Notice is deemed delivered when sent to the email address associated with your account, regardless of whether it is received or read.

  • First Notice - 60 Days Before Deletion: Approximately sixty (60) days before your account is scheduled for deletion, Permission will send you an email notifying you that: (i) your account has been inactive for approximately twenty-two (22) months; (ii) your account and associated personal data will be permanently deleted in approximately sixty (60) days unless you reactivate your account; and (iii) you may prevent deletion by logging in or taking any user-initiated action before the deletion date.
  • Second Notice - 30 Days Before Deletion: Approximately thirty (30) days before your account is scheduled for deletion, Permission will send you a final reminder email and additionally notifying you of: (i) the scheduled deletion date; (ii) how any ASK token balances or wallet-linked data associated with your account will be handled upon deletion, as described below in the “ASK Token Disposition on Account Deletion or Inactivity” section below; and (iii) how to contact Permission support if you have questions.
  • Post-Deletion Confirmation: Following deletion of your account, Permission will send a confirmation email to the address on file notifying you that deletion has been completed. If you believe your account was deleted in error, you may contact Permission support within thirty (30) days of receiving this confirmation. Permission will make reasonable efforts to investigate and respond to such requests, but cannot guarantee recovery of deleted data.

Effect of Deletion

Upon deletion of your account, Permission will delete or irreversibly anonymize your profile data, behavioral data, and other personal information in accordance with its Data Retention Policy, subject to the following:

  • Financial records, transaction records, rewards activity, wallet records, and other data required to be retained by applicable law will be retained for the periods required by law, notwithstanding deletion of your account profile.
  • Certain minimal account identifiers (such as your email address) may be retained on Permission’s suppression list to ensure that opt-out preferences are honored and that a new account is not created with the same credentials without fresh consent.
  • On-chain transaction records associated with your wallet address are immutable and cannot be deleted by Permission.
  • Data shared with or transmitted to third-party partners prior to deletion may be subject to those partners’ own retention policies. Permission is not responsible for data held by third parties independently of Permission’s systems.
  • ASK or other rewards remaining in a Pending Balance at the time of deletion are subject to forfeiture in accordance with the “Rewards, ASK Tokens, and Wallet Functionality” section of these Terms. Rewards that have been validly withdrawn to an on-chain wallet prior to deletion are not affected.

Reactivation

You may reactivate your account at any time before deletion is executed by logging in or taking any user-initiated action. If you reactivate during the notice period, the inactivity clock resets. Permission does not guarantee that account data will be recoverable after deletion has been executed.

Child Profiles: Notice to Parent

For accounts that include child profiles (as defined in our Privacy Policy), all notices required under this Section will be sent to the parent or legal guardian’s email address on file, not to the child. Deletion of a parent account will result in deletion of all associated child profiles and data, subject to any legally required retention periods. Deletion of a child profile may be requested by the parent or legal guardian at any time by contacting dpo@permission.io.

No Liability for Inactivity Deletion

Permission will not be liable for any loss of data, content, rewards balances, or other account-associated information resulting from deletion carried out in accordance with this Section, provided that Permission has sent the notices required herein to the email address on your account. It is your responsibility to maintain a current and accessible email address and to respond to inactivity notices.

Account Deletion and Closure

Parents may request deletion of their account and associated child profiles at any time, subject to applicable legal, security, and recordkeeping obligations.

Upon account deletion:

  • Access to the Services will be terminated
  • Child profiles will be removed
  • Data will be deleted or retained in accordance with our Privacy Policy

Some information may be retained for legitimate purposes such as security, fraud prevention, dispute resolution, or legal compliance.

Changes to Account Features

Permission may add, modify, or remove account features from time to time. We will make reasonable efforts to communicate material changes, especially where they affect eligibility, controls, or user rights.

Paid Subscriptions, Billing, and Cancellation

Subscription Plans

Certain features of the Services are available only through paid subscription plans. Subscription features, pricing, billing frequency, and included benefits are described at the time of purchase or within the Services.

By purchasing a subscription, you authorize Permission to charge the applicable subscription fees, taxes, and any other disclosed charges to your selected payment method on a recurring basis unless and until you cancel.

Subscriptions provide access to features and services only and do not confer any ownership, investment, or financial interest.

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You will be charged the then-current subscription fee unless otherwise disclosed.

By purchasing a subscription, you acknowledge and agree that your subscription will automatically renew unless canceled before renewal.

Free Trials and Promotional Pricing

If your subscription includes a free trial or promotional pricing, the trial will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. Promotional pricing may be temporary and will revert to standard pricing upon renewal.

ASK tokens and reward features are not available during the free trial period. Access to ASK begins only upon commencement of a paid subscription.

Billing and Payment Processing

Subscription payments may be processed through third-party payment processors or app marketplaces, including but not limited to Apple App Store, Google Play, or Stripe. Your use of those services is subject to their respective terms and policies.

If you purchase a subscription through a third-party marketplace, cancellation and billing disputes must be handled through that marketplace. 

Permission does not store full payment card information and is not responsible for errors, service interruptions, or billing disputes arising from third-party payment processors.

Payment Failure; Suspension for Non-Payment

If your selected payment method cannot be charged, or if a payment is reversed, declined, disputed, or otherwise fails, Permission may attempt to process the payment again using the payment information on file, to the extent permitted by applicable law and the rules of the applicable payment processor or marketplace.

If payment is not successfully processed within a reasonable period, Permission may suspend, downgrade, or terminate your subscription and access to subscription-only features. During any period of suspension, you may lose access to subscription features and benefits.

Because subscription-related ASK allocations are provided at the beginning of a subscription period and remain subject to validation under these Terms, any ASK allocated in connection with a subscription period for which payment is not successfully completed may be placed in a Pending Balance, restricted, paused, reduced, or forfeited, unless and until payment is successfully resolved. ASK that has been validly withdrawn to an on-chain wallet prior to suspension is not affected.

You remain responsible for any unpaid subscription amounts to the extent permitted by law.

If you purchased your subscription through a third-party marketplace (such as the Apple App Store or Google Play), billing, payment failures, cancellations, refunds, and reinstatement are governed by that marketplace’s terms, and Permission may rely on the marketplace’s subscription status to determine access to subscription features and related rewards.

Cancellation

You may cancel your subscription at any time through your account settings or through the platform used to purchase the subscription (e.g., Apple App Store or Google Play). Cancellation will take effect at the end of the current billing period unless otherwise required by law.

You will retain access to subscription features until the end of the billing period.

No Refunds for Partial Periods

Except where required by law, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or unused features.

Changes to Pricing or Plans

Permission may change subscription pricing, features, or plans from time to time. We will provide advance notice of material changes where required by law. Continued use of the Services after a pricing change takes effect constitutes acceptance of the updated pricing.

Effect of Cancellation on Rewards

Cancellation of a subscription does not entitle you to a refund of previously allocated ASK or other rewards. Any unused, unredeemed, provisional, or promotional rewards (including any Pending Balance amounts) remain subject to the eligibility, validation, expiration, and forfeiture rules described in these Terms.

Data Use and Privacy

Overview

Permission is designed to give users meaningful control over how data is used, shared, and managed. Our data practices vary depending on who you are (parent, child profile, or individual user) and which features of the Services you use. This section provides a high-level description of how data is handled under these Terms. 

Privacy Policy and Incorporated Practices

Use of the Services is also governed by Permission’s Privacy Policy, which is incorporated by reference and forms part of these Terms. The Privacy Policy describes in detail how Permission collects, uses, discloses, retains, and protects personal information, including information processed through the Permission Agent, browser extensions, advertising and opt-in campaigns, automated and AI-powered features, cookies and similar technologies, blockchain-based transactions, and reward-related activities.

Any data accessed, processed, or shared by the Permission Agent occurs only in accordance with user-configured permissions and the Privacy Policy.

The Privacy Policy also explains user rights, consent mechanisms, parental controls, automated processing practices, international data transfers, and limitations associated with blockchain technology.

In the event of any conflict between these Terms and the Privacy Policy with respect to personal data processing, the Privacy Policy controls.

Parent Data

When you create and use a Permission account as a parent or individual user, we may collect and process personal information necessary to:

  • Create and authenticate your account
  • Provide access to subscribed or enabled features
  • Configure household settings and child profiles
  • Deliver parent-facing insights, controls, and tools
  • Process subscriptions, billing, and rewards
  • Provide customer support and maintain platform security

Parent data is processed in accordance with applicable law and our Privacy Policy. Parents may review, update, or request deletion of their personal data as described in the Privacy Policy.

Child Data and Parental Consent

Permission processes personal information relating to children only in connection with a parent account and under a parental-consent model.

Key principles governing child data include:

  • No child accounts: Children do not create accounts and are not independent users of the Services.
  • Parental authority: All collection, use, and management of child data occurs under a parent’s direction and control.
  • Verifiable parental consent: Where required by law, Permission obtains verifiable parental consent before collecting personal information from or about children.
  • Limited purposes: Child data is collected and used solely to support parent-configured features, parent-facing insights, and household functionality.

Child data is not used for advertising, profiling for commercial purposes, or independent engagement by children.

No Advertising to Children

Permission does not engage in advertising directed to children. We do not serve targeted advertising to child profiles, do not use child data for advertising or ad personalization, and do not permit third-party advertising networks to collect data from child-facing features. Any advertising, promotions, or brand-related experiences offered through the Services are presented only to eligible parents or individual users and require explicit opt-in.

For a full description of the technical safeguards applied to child-facing features, including the exclusion of advertising pixels, retargeting technologies, and third-party advertising SDKs from child-facing surfaces, please review the Privacy Policy.

Individual Users and Optional Earning Features

Certain features of the Services allow eligible individuals to participate in optional earning opportunities, including through the Permission Agent.

For these features:

  • Participation is always explicit and opt-in
  • Data is used only as described at the time of participation
  • Users may manage or withdraw consent through their account settings

Child profiles are excluded from these features and do not participate in earning activities.

Automated Processing and AI Features

Some features of the Services use automated systems, including AI-powered tools, to support functionality such as:

  • Delivering parent-facing insights
  • Supporting optional earning opportunities
  • Improving platform performance and security

Automated processing is used in a manner consistent with applicable law. Where required, users may request additional information, review, or human intervention as described in the Privacy Policy.

Children are not provided access to AI-driven features intended for independent use, and child data is not used to train generalized advertising or marketing models.

Data Sharing and Third Parties

Permission may share data with trusted service providers and partners solely for purposes necessary to operate and support the Services, including authentication and account management, payment processing and subscriptions, customer support, and security, fraud prevention, and compliance.

We do not sell children’s personal information and do not permit third parties to use child data for their own commercial purposes. Additional details regarding categories of recipients, purposes of processing, and applicable safeguards are described in the Privacy Policy.

Data Retention and Deletion

Permission retains personal information only for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, enforce agreements, and maintain the security and integrity of the platform.

Parents may request deletion of their account and associated child profiles in accordance with the Privacy Policy. Certain information may be retained where legally required or permitted, including for compliance, security, and recordkeeping purposes.

Your Responsibilities

By using the Services, you agree to provide accurate information, use the Services in accordance with these Terms, and exercise appropriate care when managing household and child settings.

Parents are responsible for configuring and supervising child-facing features consistent with their preferences and applicable law.

Rewards, ASK Tokens, and Wallet Functionality

Overview of Rewards

Permission offers optional rewards features as part of certain Services, including subscription plans and explicit opt-in reward programs. These features allow eligible users to receive and use ASK as a rewards unit within the Permission ecosystem.

ASK may be provided as part of a subscription benefit, through optional top-ups, or through other permitted methods described in these Terms.

Participation in any reward program is voluntary. Rewards are earned only through explicit, intentional actions described at the time of participation and are subject to validation under these Terms. Permission does not guarantee the availability, frequency, or value of any rewards.

For clarity, rewards displayed in the Services may include promotional or provisional balances that do not represent transferable digital assets unless and until they are validated and withdrawn to an on-chain wallet as described below. 

Eligibility for Rewards

Certain subscription plans include periodic allocations of ASK to a parent account as part of the subscription experience. ASK provided through subscriptions:

  • Is a feature of the subscription and not a rebate, refund, or cash equivalent
  • Is allocated at the household level and managed by the parent account holder
  • May be used solely for rewards and redemption options offered through the Services
  • The specific quantity of ASK allocated per subscription period will be disclosed within the Services at the time of purchase and is subject to change upon notice.

Subscription-allocated ASK has no independent cash value and is subject to the same rules, limitations, and modification rights described in these Terms.

ASK is not available during the free trial period. Eligibility to receive, use, or interact with ASK begins only upon commencement of a paid subscription.

Reward eligibility depends on the type of user and the feature involved:

  • Parent owners and eligible individual users may participate in reward programs, including those delivered through the Permission Agent, subject to applicable eligibility requirements.
  • Child profiles are not eligible to independently earn, withdraw, transfer, or control ASK or any other digital assets.

Any rewards associated with child-related activities are governed exclusively by parent-defined settings and are accrued, managed, and redeemed under the parent’s authority.

ASK Tokens

ASK is a blockchain-based digital token recorded on distributed ledger networks supported by the Services. It is a digital token used within the Permission ecosystem to support participation in reward programs and related features. ASK:

  • Is not legal tender
  • Is not a security, investment product, or savings vehicle
  • Does not represent equity, ownership, or profit-sharing rights
  • Does not guarantee any future value

ASK has no guaranteed value and may have limited or no utility outside the Services. You acknowledge and accept the risks associated with holding or using digital tokens.

Pending Balance and Validation

When you complete a qualifying rewarded action, ASK or other rewards may be credited to your account in a Pending Balance. Rewards reflected in a Pending Balance are provisional and may be delayed for validation, fraud review, or compliance checks, and may be adjusted or removed if earned in violation of these Terms or applicable rules. Pending rewards are not final, transferable, or eligible for withdrawal until they have been validated and withdrawn to an on-chain wallet.

ASK Top-Ups and Additional ASK

Permission may allow parents or eligible users to obtain additional ASK through in-app options or other permitted methods.

Any acquisition of ASK through the Services provides access to a fixed quantity of ASK for use as a rewards unit within the Permission ecosystem and does not constitute an investment, security, or financial product.

Permission does not guarantee pricing parity, liquidity, or redemption availability, and all ASK use remains subject to these Terms.

Gift Card Redemption 

Eligible users may redeem ASK tokens for gift cards through Permission's rewards redemption partner, Tremendous. Upon redemption, Permission transmits the applicable fiat equivalent on your behalf to Tremendous for fulfillment. ASK is valued at $0.01 per token for redemption purposes. Minimum redemption thresholds apply. Redemption availability, supported gift card options, and fulfillment timelines are subject to Tremendous's platform terms and may vary. Permission is not responsible for delays, errors, or unavailability arising from Tremendous's systems or policies.

Withdrawal and Finality

Once your Pending Balance meets any applicable withdrawal requirements, you may initiate a withdrawal to an on-chain wallet supported by the Services.

When ASK is withdrawn:

  • It is transferred to the blockchain
  • It is no longer controlled by Permission
  • It cannot be reversed, clawed back, or modified by Permission

Only ASK that has been validated and is not subject to promotional, trial, or provisional restrictions is eligible for withdrawal.

You are solely responsible for ensuring that withdrawal instructions are accurate.

Parent-Controlled Custodial Wallets for Child-Related Rewards

For features involving child profiles:

  • Rewards accrue only under parent-controlled custody
  • Private keys are never accessible to children
  • Children cannot initiate transactions
  • All redemptions or transfers require parent approval

These custodial arrangements are designed to support household governance and compliance with applicable child-protection laws.

Wallet Functionality

Permission makes available limited wallet-related functionality solely to support eligible rewards features and the use of ASK and any other digital assets expressly supported within the Services. Such functionality is offered only as part of the Permission ecosystem and is not intended to serve as a bank account, brokerage account, payment account, exchange account, money transmission service, or general-purpose digital asset wallet.

To the extent wallet-related functionality is made available through the Services, you acknowledge and agree that:

  • digital assets are recorded on public or permissioned blockchain networks that operate independently of Permission;
  • blockchain transactions, once submitted to the applicable network, are generally irreversible;
  • network fees, gas fees, validator fees, or similar charges may apply;
  • access to wallet-related functionality may be delayed, limited, or unavailable due to maintenance, network congestion, blockchain conditions, security reviews, third-party dependencies, or other operational reasons; and
  • Permission does not provide insurance for digital assets and is not responsible for losses arising from blockchain protocol failures, incompatibility errors, user-provided address errors, third-party acts or omissions, or unauthorized access outside Permission’s reasonable control.

Permission may impose or modify eligibility requirements, supported asset limitations, transaction limits, validation requirements, holding periods, or other conditions on wallet-related functionality at any time to maintain platform integrity, address misuse, or comply with applicable law.

No Financial Advice or Investment Use

Permission does not provide financial, investment, tax, accounting, or legal advice. ASK, rewards features, and wallet-related functionality are intended solely to support participation in the Permission ecosystem. You should not acquire, use, hold, or transfer ASK in reliance on any expectation of profit, appreciation, income, or other financial return, and you should not treat ASK or any reward feature as a deposit, store of value, or investment.

Taxes and Reporting

You are solely responsible for determining and complying with any tax obligations associated with your receipt, holding, use, transfer, or redemption of ASK or any other rewards. Unless expressly required by applicable law, Permission does not provide tax reporting or tax advice.

Suspension, Forfeiture, and Misuse

Permission may suspend or limit access to rewards features or wallet-related functionality, withhold, reduce, invalidate, or remove Pending Balance rewards, or terminate access to applicable features if Permission reasonably believes that rewards or digital asset functionality have been used in connection with fraud, misuse, policy violations, security concerns, sanctions concerns, unlawful activity, or conduct inconsistent with these Terms or applicable law.

Rewards that have been validly withdrawn to a supported on-chain address are generally final and are not subject to adjustment by Permission, except to the extent required by law or pursuant to a valid legal process.

No Conditioning or Pressure on Children

Permission does not condition a child’s access to core features on the disclosure of additional personal information or participation in reward activities.

Children are not prompted, encouraged, or incentivized to provide personal information in exchange for rewards. All reward-related decisions involving children are made by parents.

ASK Token Disposition on Account Deletion or Inactivity

Pending Balance on Deletion or Purge

ASK reflected in your Pending Balance represents a provisional, conditional ledger entry and does not constitute a transferred or finalized digital asset. If your account is deleted or subject to an inactivity purge, any ASK remaining in your Pending Balance at the time of deletion will be forfeited and will revert to Permission's platform treasury thirty (30) days after the deletion execution date (the "ASK Grace Period").

On-Chain ASK — Not Affected

ASK that you have withdrawn to a supported on-chain wallet address prior to the deletion execution date is not affected by deletion or inactivity purge. Permission does not control on-chain ASK and cannot recover, reverse, or modify any on-chain balance. On-chain ASK is subject solely to the applicable blockchain protocol and any terms governing your wallet.

Account Reactivation During the ASK Grace Period

If your account is reinstated following a support inquiry during the thirty (30) day post-deletion window, your account and your Pending Balance as it stood at the time of deletion execution will be restored, provided that the ASK Grace Period has not yet elapsed and no forfeiture action has been taken. Permission will make reasonable efforts to restore Pending Balances in such cases but cannot guarantee restoration where validation or compliance holds are outstanding.

Wallet Key Retention and Custody

Retention of Key Material

Where Permission holds or has access to wallet key material associated with your account (including keys associated with parent-controlled custodial wallets for child-related rewards), such key material is retained in encrypted form for the period required by Permission’s Data Retention Policy and applicable law, including any minimum retention periods associated with financial, transaction, or compliance records linked to the wallet.

Key material is subject to the same access controls, encryption standards, and security safeguards applicable to Restricted Data under Permission’s Data Classification Policy. Access to key material is limited to personnel and systems with a documented operational need.

Custody Transition

Permission is in the process of transitioning wallet-related functionality to a third-party custody model. Upon completion of the custody transition, wallet key material currently held by Permission will be migrated to or superseded by the custody arrangements of the appointed provider. Users will be notified of material changes to custody arrangements in accordance with the Modifications section of these Terms.

Child Profiles

Wallet key material associated with parent-controlled custodial arrangements for child profiles is never accessible to the child. Upon deletion of a parent account or child profile, such key material is retained and disposed of in accordance with the “Retention of Key Material” section above and the Data Retention Policy. Children cannot initiate transactions, access key material, or exercise independent control over any wallet feature at any time.

No Liability for Encrypted Key Retention

Retention of encrypted key material during the applicable retention period does not create any obligation on Permission to make keys accessible, to facilitate transactions, or to provide wallet services after account deletion. Following deletion, wallet-related functionality for the deleted account is suspended. Key material is retained solely to satisfy applicable legal and financial recordkeeping obligations.

Changes to Rewards Programs

Permission may modify, suspend, or discontinue any reward program, token feature, or wallet function at any time. Changes may include, but are not limited to, adjustments to eligibility, validation rules, thresholds, or supported assets.

Continued use of the Services constitutes acceptance of any such changes. Permission does not guarantee the continued availability of any reward, redemption option, ASK allocation amount, or wallet feature.

Security, Monitoring, and Children’s Data Safeguards

Permission maintains administrative, technical, and physical safeguards designed to protect personal information and digital assets processed through the Services. These measures are intended to reduce the risk of unauthorized access, disclosure, alteration, or destruction of data.

Our security practices include, where appropriate:

  • Encryption of data in transit and at rest
  • Role-based access controls and least-privilege access
  • Audit logging and monitoring of system activity
  • Segregation of sensitive systems and credentials
  • Regular review and updating of security controls

While we take reasonable steps to protect the Services, no system is completely secure. You acknowledge that use of online services and blockchain-based systems involves inherent risks.

Digital Asset Transfers

In General

Subject to eligibility requirements, validation requirements, technical availability, and any other conditions described in these Terms or presented in the Services, Permission may make available limited functionality that allows eligible users to initiate supported blockchain transfers of ASK and any other expressly supported digital assets to or from a supported on-chain address. Such functionality is provided solely in connection with the Services and does not constitute a general-purpose payment service, remittance service, exchange service, or money transmission service.

For purposes of these Terms, a “Digital Asset Transfer” means a supported blockchain transaction initiated through the Services with respect to ASK or another expressly supported digital asset. Child profiles may not initiate Digital Asset Transfers, interact with third-party wallets, or access external exchanges.

You are solely responsible for reviewing and confirming all transaction details before submitting any transfer request, including the destination address, network, wallet compatibility, token type, and any required destination tag, memo, or similar identifier. Permission may present transaction details and confirmations for convenience only and does not guarantee their accuracy if the information provided by you is incorrect, incomplete, or incompatible.

Pending Transactions

After a transfer request is submitted for processing, the transaction may remain pending for a period of time before being accepted, broadcast, confirmed, or finalized on the applicable blockchain network. A Digital Asset Transfer is not complete unless and until the relevant blockchain network reflects sufficient confirmation or finality, as determined by that network or by the operational standards applied by Permission or its service providers.

Permission may delay, pause, decline, or cancel a requested transfer before broadcast where reasonably necessary for security review, fraud prevention, operational reasons, sanctions screening, legal compliance, technical failure, or other risk-based reasons.

Inbound Transfers

Where the Services support receipt of digital assets from an external address to a supported on-platform address or wallet destination, any person initiating that transfer is solely responsible for ensuring that the transfer is sent using a supported asset, on a supported network, to a compatible address and with any required transaction data. Permission is not responsible for digital assets sent using an unsupported network, to an incompatible address, with incorrect or omitted transaction identifiers, or otherwise in a manner not supported by the Services. Such assets may be delayed, inaccessible, or permanently lost.

Permission may reject, quarantine, or decline to credit any inbound transfer that does not satisfy technical, security, validation, compliance, or eligibility requirements.

Outbound Transfers

Where the Services support transfer of eligible digital assets to an external address, any such transfer is made only at your direction and subject to all applicable eligibility requirements, transaction limits, validation procedures, security checks, and legal restrictions. You are solely responsible for providing an accurate and compatible destination address and any required transaction identifiers.

Permission disclaims liability for losses, delays, or failures arising from:

  • Incorrect or incomplete wallet addresses;
  • Incorrect destination tags, memos, or similar identifiers;
  • Use of an unsupported or incompatible wallet, protocol, or network;
  • Blockchain congestion, validator delay, chain reorganization, or network failure; or
  • Any transaction submitted in accordance with the instructions provided through your account.

Once a Digital Asset Transfer has been broadcast to the applicable blockchain network, it generally cannot be reversed, canceled, or recovered. Permission does not control any blockchain network and does not guarantee that any transfer request will be accepted, confirmed, or finalized by the network.

By using wallet-related functionality or initiating any Digital Asset Transfer through the Services, you acknowledge and accept these technical, operational, and legal risks.

Monitoring and Platform Integrity

Permission may monitor usage of the Services to:

  • Maintain security and operational integrity
  • Detect and prevent fraud, abuse, or misuse
  • Enforce these Terms and applicable policies
  • Comply with legal obligations

Monitoring is conducted in a manner consistent with applicable law and our Privacy Policy. We do not engage in covert surveillance of children, nor do we monitor communications content such as messages, emails, or private account credentials.

Parents are responsible for configuring household settings and supervising child-facing features in accordance with their preferences and applicable law.

Permission reserves the right to restrict or remove content or access that violates these Terms or applicable law.

Children’s Data Safeguards

In addition to the child data practices described in these Terms and the Privacy Policy, Permission maintains safeguards intended to protect child-profile data, including:

  • Parental control: All child data is collected, accessed, and managed solely under a parent account and parental authority.
  • Data minimization: We limit child data collection to what is reasonably necessary to support parent-configured features and parent-facing insights.
  • No advertising use: Child data is never used for advertising, marketing, or commercial profiling.
  • Access restrictions: Internal access to child-linked data is restricted, audited, and limited to personnel and systems with a legitimate operational need.
  • No child financial control: Children do not control wallets, private keys, or financial decisions, and cannot initiate transactions or redemptions.

Where required by law, Permission obtains verifiable parental consent before collecting personal information from or about children and honors parental rights to review, delete, or restrict child data as described in the Privacy Policy.

Incident Response and Notifications

In the event of a security incident involving personal information, Permission will investigate and respond in accordance with applicable law and our internal incident response procedures.

Where legally required, we will provide notice to affected users or parents, and to regulators, within applicable timeframes.

Limitations

Nothing in this section creates a guarantee of absolute security or uninterrupted availability of the Services. Parents and users acknowledge that security risks cannot be entirely eliminated and agree to use the Services with appropriate care.

Acceptable Use and Prohibited Conduct

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. The Services are intended to support parent-led household management, optional individual participation features, and compliant reward programs.

Parents are responsible for:

  • Configuring household and child-facing features in a manner consistent with their preferences and applicable law; and
  • Supervising children’s use of any child-facing features made available under a parent account.

Individual users are responsible for ensuring that their participation in optional features, including earning opportunities, complies with eligibility requirements and applicable law.

Prohibited Conduct

You may not, and may not attempt to, directly or indirectly:

  • Use the Services in violation of any applicable law, regulation, or court order
  • Misrepresent your identity, age, eligibility, or authority (including pretending to be a parent or guardian when you are not)
  • Create, access, or control accounts or child profiles without proper authorization
  • Circumvent, disable, or interfere with security features, parental controls, eligibility checks, or safeguards
  • Access or attempt to access data, accounts, wallets, or systems not intended for you
  • Reverse engineer, decompile, or attempt to extract source code or proprietary logic from the Services, except as permitted by law
  • Use automated scripts, bots, scraping tools, or other unauthorized means to interact with the Services
  • Manipulate, exploit, or game reward programs, validation processes, referral systems, or redemption mechanisms
  • Attempt to condition or pressure a child to disclose personal information, complete actions, or engage in activities in exchange for rewards
  • Use child-facing features for advertising, solicitation, or commercial purposes
  • Introduce malware, malicious code, or conduct attacks that disrupt or compromise the Services
  • Use the Services in a way that could harm Permission, other users, children, or third parties

Security Testing and Vulnerability Reporting

Permission does not operate a bug bounty or vulnerability reward program. You are not entitled to any payment, compensation, or recognition for identifying, reporting, or disclosing any bugs, security vulnerabilities, or system issues.

You may not, and may not attempt to, access, test, probe, scan, exploit, or otherwise interact with the Services or any related systems, networks, or data in a manner intended to identify vulnerabilities or circumvent security measures, except as expressly authorized in writing by Permission.

Any unauthorized testing, exploitation, or disclosure of vulnerabilities is strictly prohibited and may result in suspension or termination of your account, forfeiture of rewards, and/or legal action to the fullest extent permitted by law.

If you choose to report a potential security issue, you must do so in good faith, without exploiting the issue, and in a manner that does not harm the Services, other users, or any third party. Submission of such information does not create any obligation on the part of Permission.

Rewards and Token Misuse

Without limiting the foregoing, you may not:

  • Attempt to earn rewards through deception, artificial activity, coordinated abuse, or other manipulative practices
  • Create multiple accounts to bypass reward limits or eligibility requirements
  • Sell, transfer, or market access to reward programs or subscription benefits in violation of these Terms
  • Represent ASK or any reward feature as an investment, financial product, or guaranteed source of value

Permission reserves the right to investigate suspected misuse and to suspend, withhold, or terminate access to rewards or the Services as described elsewhere in these Terms.

Enforcement

Permission may take reasonable action to enforce this section, including:

  • Restricting or suspending access to features
  • Removing or invalidating rewards earned in violation of these Terms
  • Terminating accounts for repeated or serious violations

Enforcement actions are taken in a manner consistent with applicable law and our Privacy Policy.

Reporting Concerns

If you believe that the Services are being misused, or that a child’s safety or data may be at risk, you may contact Permission through our support channels. We take reports involving children, security, and compliance seriously.

No Waiver

Failure by Permission to enforce any provision of this section in a particular instance does not constitute a waiver of our right to enforce it in the future.

Referral Program

Overview

The Permission Referral Program (“Program”) allows registered users of Permission.io (“Referrer”) to earn rewards by referring friends and contacts (“Referees”) to join Permission and complete specific account verification requirements. By participating in the Program, you agree to comply with the Referral Program's Terms & Conditions, as well as our Terms of Use and Privacy Policy.

Eligibility

  • Please refer to the section titled “Eligibility and Age Requirements” for general account and age requirements.Eligibility to participate in the Referral Program, and to receive referral-related rewards, may vary depending on the type of account, subscription status, and the specific referral offer presented at the time of participation.
    • Paid Subscriptions:
      Referees who sign up for a paid subscription through a referral link may complete subscription enrollment without identity verification, unless otherwise required by law or payment processors.

    • Reward Eligibility and Withdrawals:
      Identity verification may be required before referral rewards are validated, credited to a Pending Balance, or withdrawn, including for fraud prevention, compliance, or legal reasons. Verification requirements, if any, will be disclosed within the Services at the time they apply.
    Unless expressly authorized by Permission, only one account per individual is permitted. Multiple accounts associated with the same individual may result in disqualification from referral rewards.

How the Program Works

  • To participate, share your unique referral link with friends and contacts.
  • When your Referee signs up using your referral link and completes any applicable eligibility or verification steps disclosed at the time, referral rewards (if offered) will be credited to your Pending Balance.
  • Only after the Referee’s account is verified will the Referrer be eligible to receive rewards.
  • Rewards will appear as “Pending” until the Referee completes all necessary verification steps.

Reward Distribution

  • Rewards are credited to your Permission.io account once verification is complete.
  • The amount of the reward is determined by the current Program terms displayed within the Permission application.
  • Rewards are subject to change at the discretion of Permission.

Fraud Prevention

  • Permission reserves the right to withhold or retract rewards if fraudulent activity is suspected.
  • Fraudulent activities include, but are not limited to:
    • Creating multiple accounts
    • Using fake or stolen identities
    • Manipulating the referral process
    • Circumventing verification requirements
  • Any fraudulent behavior may result in disqualification from the Program and suspension or termination of your Permission account.

Program Modifications and Termination

  • Permission.io reserves the right to modify, suspend, or terminate the Program at any time for any reason.
  • In the event of program termination, any pending rewards not yet credited to your account will be forfeited.

Purchase of .ASK Domains 

Permission, in collaboration with Unstoppable Domains, offers users the ability to purchase .ASK domains directly through the Permission platform. This section outlines the terms, conditions, and disclaimers related to the purchase, management, and dispute resolution of .ASK domains.

Overview

.ASK domains are provided and managed by Unstoppable Domains. Permission facilitates the purchase of these domains through its platform, leveraging Stripe for payment processing. All aspects of .ASK domain ownership, registration, renewal, and transfer are governed by Unstoppable Domains’ terms of service and policies.

By purchasing a .ASK domain through Permission, you agree to comply with:

  • Unstoppable Domains' Terms of Service
  • Unstoppable Domains' Privacy Policy
  • All applicable policies related to domain registration and management

Payment Processing

Payment for .ASK domains is facilitated through Stripe. By completing a purchase, you agree to Stripe's Terms of Service and acknowledge that Permission does not store or process payment information.

Payment Issues and Disputes

All payment-related issues, including but not limited to payment failures, card declines, chargebacks, disputes, and refunds are the sole responsibility of Stripe. Permission does not have access to payment processing information and cannot mediate or resolve disputes between users and Stripe. If you experience a payment issue, you must contact Stripe directly to resolve the matter. Permission disclaims any liability for failed transactions, delays in processing, or errors resulting from the payment process.

By proceeding with a purchase, you accept and acknowledge that all payment obligations and issues are governed by Stripe's policies and are outside the purview of Permission's support.

Domain Management

Management of your .ASK domain, including renewals, transfers, and DNS settings, is handled directly through your Unstoppable Domains account. Permission provides the purchase interface but does not manage or maintain ongoing domain services.

Disclaimer of Liability

Permission disclaims all liability for the following:

  • Loss, suspension, or transfer of .ASK domains resulting from non-compliance with Unstoppable Domains policies.
  • Unauthorized access to your domain account managed by Unstoppable Domains.
  • Infringements, disputes, or legal challenges related to domain registration.
  • Service outages, technical failures, or loss of domain access resulting from Unstoppable Domains’ systems or third-party services.

Dispute Resolution for .ASK Domains

  • All disputes arising out of or relating to .ASK domains, including but not limited to:
    • Domain ownership,
    • Registration conflicts,
    • Expired domains,
    • Infringement claims, and
    • Intellectual property disputes
  • are governed exclusively by Unstoppable Domains' dispute resolution policies. Permission does not arbitrate or mediate disputes related to .ASK domains.
  • In the event of a domain dispute, you are required to follow Unstoppable Domains' dispute resolution processes, which may include, but are not limited to, arbitration under the Uniform Domain-Name Dispute-Resolution Policy (UDRP), or any other applicable policies as specified by Unstoppable Domains.
  • You acknowledge and agree that:
    • Permission is not liable for resolving disputes related to .ASK domains.
    • Permission will not mediate domain disputes or intervene in domain ownership claims.
    • Unstoppable Domains' decision in dispute resolutions is final and binding.
  • Any legal proceedings or arbitration regarding .ASK domain ownership must be directed to Unstoppable Domains in accordance with their specified dispute resolution procedures.
  • If a dispute leads to the suspension, transfer, or cancellation of a .ASK domain, Permission will comply with the decision as directed by Unstoppable Domains and its governing dispute resolution entities.

Indemnification

You agree to indemnify and hold Permission, its officers, directors, employees, and agents harmless from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of your purchase, registration, use, or dispute of a .ASK domain.

Updates to this Section

Permission reserves the right to update or modify this section at any time. Any changes will be posted to the Terms of Use, and continued use of the .ASK domain services constitutes acceptance of those changes.

Content Preservation

Permission reserves the right to preserve any content submitted by you to the Services if we are expressly authorized by you to do so or if required by law. This includes, but is not limited to, any information, data, messages, or other materials you provide or create while using our Services.

We may also preserve content if we believe, in good faith, that such preservation is reasonably necessary to:

  • Comply with applicable laws, regulations, legal processes, or governmental requests.
  • Enforce these Terms of Use, including investigations of potential violations.
  • Detect, prevent, or otherwise address fraud, security, or technical issues.
  • Respond to user support requests.
  • Protect the rights, property, or safety of Permission, its users, or the public.

Disclosure of Content

Permission may disclose your content if required by law or if, in good faith, we believe that disclosure is reasonably necessary to:

  • Comply with legal obligations or governmental requests.
  • Enforce our Terms of Use or other agreements.
  • Respond to claims that any content violates the rights of third parties.
  • Detect, prevent, or address fraud, security, or technical issues.
  • Protect the rights, property, or personal safety of Permission, its users, or the public.

Notification of Disclosure

Where legally permissible and reasonably practical, Permission will attempt to notify you before disclosing your content in response to legal process, so you may seek protection of your rights, except when prohibited by law or in cases of emergency.

Platform and Software Licensing

Software Licensing

As part of your use of Permission’s Services, you may access and interact with various software applications, including web-based and mobile applications (collectively, the “Software”). Permission grants you a limited, personal, non-transferable, non-exclusive, revocable license to access and use the Software solely for your personal, non-commercial use of the Services. This license is intended to enable you to access the functionalities of the Services in accordance with these Terms of Use.

License Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Software;
  • Reverse engineer, decompile, or attempt to extract the source code of the Software, except where such restriction is expressly prohibited by applicable law;
  • Transfer or sublicense your rights to use the Software to any third party;
  • Bypass, disable, or otherwise interfere with security-related features of the Software, including any mechanisms that enforce limitations on usage;
  • Use the Software for any purpose not expressly permitted under these Terms of Use.

Open Source Licenses

Some components of the Software may be offered under an open-source license, which may have terms that expressly override some of the terms in this section. In such cases, you are required to comply with the open-source license terms as applicable. Any use of open-source components must be strictly in accordance with the specific license terms governing that component.

Updates and Modifications

Permission may, at its sole discretion, deploy updates, patches, bug fixes, or other modifications to the Software. You consent to these automatic updates and understand that these updates are necessary to maintain the integrity and security of the Services. Your continued use of the Services constitutes acceptance of any updates or modifications.

Termination of License

Permission reserves the right to suspend or terminate your access to the Software at any time and for any reason, including for violations of these Terms of Use or if Permission believes your use of the Software poses a threat to its infrastructure or violates any applicable law. Upon termination, you must immediately stop using the Software and uninstall any applications from your devices.

Intellectual Property and Proprietary Rights

Ownership of Intellectual Property

All trademarks, service marks, logos, and branding displayed on the Services are the property of Permission or their respective owners. You acknowledge and agree that Permission and its licensors exclusively own all rights, titles, and interests in and to the Services, including, but not limited to, all designs, text, graphics, pictures, information, content, software, and other files, as well as their selection and arrangement (collectively, the “Materials”), except for certain third-party content as otherwise expressly indicated. These Materials are protected by United States and international copyright, trademark, and other intellectual property laws.

Use of Permission’s Trademarks and Materials

You may not use, reproduce, modify, distribute, display, or perform any of Permission’s trademarks, service marks, logos, or Materials without prior written consent from Permission. Unauthorized use of these intellectual properties may constitute a violation of copyright laws, trademark laws, and other applicable regulations.

Permission’s approval is required for any use of its intellectual property in advertising, press releases, or promotional materials, or any other commercial use. All goodwill generated from the use of Permission’s intellectual property will inure solely to the benefit of Permission.

Third-Party Intellectual Property

The Services may also contain trademarks, service marks, and logos of third parties. These are the property of their respective owners. Your use of any third-party intellectual property displayed on the Services is subject to the terms and conditions set by the third-party owner and requires their express authorization.

Preservation of Notices

You agree to keep intact all copyright, trademark, service mark, and other proprietary notices contained within the Services and the Materials. Any removal, alteration, or obscuring of such notices is strictly prohibited.

Digital Millennium Copyright Act (DMCA) Policy

We respect the intellectual property rights of others. If you believe that any content or other content available through the Permission Services infringes your copyright, pursuant to Section 512(c)(3) of the Digital Millennium Copyright Act, please provide us with the following information: (1) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (2) an identification of copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; (3) a detailed description of the material that you claim is infringing and information reasonably sufficient to permit us to locate the material ; (4) ) information sufficient to permit us to contact the complaining party, including your address, telephone number, and email address; (5) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner , its agent, or the law; and (6) a statement, made under penalty of perjury, that the above information is accurate and that the complaining party is the owner or is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

No personal user information is shared with the copyright owner unless required by law. Permission reserves the right to terminate the accounts of users based on receiving one or more Notice of Copyright Infringement.

DMCA Counter Claim Procedure

If we remove or disable access to your material and you believe that a copyright holder has accused you in error, you may file a DMCA Counter-Claim with our designated copyright agent. You must provide us with the following information: (1) a physical or electronic signature of the user; (2) identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled; (3) a statement under penalty of perjury that the user has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; (4) the user’s name, address and telephone number, and a statement that the subscriber consents to the jurisdiction of Federal District Court for the judicial district in which the address is located, or if the user’s address is outside of the United States, for any judicial district in which the service provider may be found, and that the user will accept service of process from the person who provided notification or an agent of such person;

Upon receipt of a DMCA Counter-Claim, we will provide the complaining party with a copy of the DMCA Counter-Claim. When we receive a Counter-Claim that meets the requirements of the DMCA, we will process the Counter-Claim in accordance with the requirements of the DMCA.

Prohibited Users; Export Controls and Sanctions

Your use of the Services is subject to all applicable laws and regulations, including export restrictions, end-user restrictions, anti-terrorism laws, and economic sanctions. By accessing or using the Services, including by earning, receiving, transferring, or storing digital assets through the Services, you represent and warrant that you will comply with all such laws and regulations. You may not use the Services if doing so would violate applicable law, including but not limited to:

  • Sanctions administered by the United Nations Security Council;
  • Sanctions, restrictions, or prohibitions administered by the United States (including the U.S. Department of the Treasury’s Office of Foreign Assets Control Specially Designated Nationals and Blocked Persons (“SDN”) list, other restricted party lists, or prohibitions on dealings with comprehensively sanctioned jurisdictions); and
  • Any other applicable federal, state, local, or foreign laws or regulations (each as amended from time to time).

It is your responsibility to ensure that your access to and use of the Services complies with the laws and regulations applicable to you, including those governing digital assets in your jurisdiction.

We may restrict or prohibit the use of all or part of the Services from certain jurisdictions, or by certain persons or entities, in order to comply with applicable laws and regulations. 

We may also suspend or terminate access to the Services at our sole discretion if we believe that your use of the Services is, or may be, in violation of applicable laws, regulations, or this Agreement.

Risks Associated with Digital Assets

Acknowledgment of Risks

Where digital assets are associated with household or child-related rewards, all access, transfers, and decisions are made solely by the parent account holder.

Your access to and use of the Services is an acknowledgement by you that there may be risks to using the Services. All those risks cannot be known, but at a minimum, by using the Services, you agree to hold Permission not liable should any of the following occur: regulatory actions; insufficient interest in Services; failure of the Services to meet your expectations; exploitation of security weaknesses in the Services; failures of cryptography associated with the Services; cryptocurrency vault attacks associated with the Services; and theft of cryptocurrency in association with use of the Services.

No Guarantee of Value

We make no guarantee of any value related to the Services. 

Risks of Loss or Fluctuation

Your access to and use of the Services is an acknowledgement by you that the value of any cryptocurrency, such as ASK, can go up, can go down, and/or may have no value at all. We make no guarantee that the Services, including any cryptocurrency (such as ASK), will have any value at any given time.

Warranties and Limitation of Liability

No Warranties

The Services and the materials (including all information, content (including user content), products, and services available on or through the Services) are provided to you on an “as is,” “as available” basis without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, non-infringement, data accuracy, and quiet enjoyment. Permission makes no warranty as to the accuracy, completeness, timeliness, or reliability of any materials available on or through the Services. No oral or written information or advice given by Permission shall create a warranty of any kind. You are responsible for verifying any and all of the materials before relying on them. Permission makes no representations or warranties that use of the Services will be uninterrupted, error-free, completely secure, or free from viruses.

Limitation of Liability

The use of the Services and the materials is at your sole risk. Permission specifically disclaims all liability, whether based in contract, tort, negligence, strict liability, or otherwise for any direct, indirect, incidental, consequential, or special damages arising out of or relating to your access to or use of the Services and the materials, even if Permission has been advised of the possibility of such damages. In no event shall Permission’s aggregate liability to you for all damages, losses and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise), exceed $100.00.

Exclusions of Certain Liabilities

Some jurisdictions do not allow exclusions of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you to the extent prohibited by law. In such cases, Permission’s liability will be limited to the fullest extent permitted by applicable law.

Indemnification

Obligation to Indemnify

You agree to indemnify, defend, and hold harmless Permission, its parent companies, affiliates, subsidiaries, officers, directors, agents, partners, members, employees, and any third parties involved in creating, producing, or delivering the Services (collectively, “Indemnified Parties”) from and against any and all claims, actions, demands, liabilities, losses, damages, costs, or expenses (including, but not limited to, reasonable attorneys’ fees and legal costs) arising out of or related to:

  • Your use of the Services;
  • Your violation of these Terms of Use;
  • Your submission of any content, data, or information to the Services;
  • Your breach of any rights of any other person or entity, including intellectual property rights, privacy rights, or other proprietary rights; and
  • Your violation of any applicable law, rule, or regulation.

Assumption of Defense

Permission reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate fully with Permission in asserting any available defenses and in conducting the defense of such claims. You shall not, in any event, settle any matter without the prior written consent of Permission.

No Limitation of Liability

Your indemnification obligations under this section are not limited in any way by any limitation on liability or disclaimers of damages contained in these Terms of Use or any other agreement with Permission.

Compliance with Laws

Jurisdictional Restrictions

The information and Services provided by Permission are not intended for distribution to, or use by, any entity or individual in any jurisdiction where such distribution or use would violate local law or regulation. Accessing the Services from territories where the content or Services may be illegal is expressly prohibited. If you choose to access the Services from outside the United States, you do so at your own risk and are solely responsible for complying with all applicable local laws and regulations.

Legal Compliance and Enforcement

Permission reserves the right to monitor, preserve, and disclose any information or content submitted by you, as necessary to:

  • Comply with applicable laws, regulations, or legal processes;
  • Enforce these Terms of Use, including investigations of potential violations;
  • Respond to claims that submitted content violates the rights of third parties;
  • Protect the rights, property, or personal safety of Permission, its users, and the public.

No Representations for Non-U.S. Access

Permission makes no representation that the Services or any of its content are appropriate or available for use in locations outside of the United States. Accessing the Services from jurisdictions where its content is illegal is strictly prohibited and is done at your own risk.

Export Controls

You may not use, export, re-export, import, or transfer any software, technology, or data associated with the Services, except as authorized by United States law, the laws of the jurisdiction in which you obtained the software, technology, or data, and any other applicable laws and regulations.

  • You specifically agree not to export or re-export any of our technology or software to any countries or individuals subject to U.S. embargoes or trade sanctions.
  • You further represent and warrant that you are not located in, under the control of, or a national or resident of any such prohibited country, or on any prohibited list including the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List.
  • Any attempt to circumvent export controls or access the Services from restricted regions constitutes a violation of these Terms of Use.

Force Majeure

We will not be liable by reason of any failure or delay in the performance of our obligations because of events beyond our reasonable control, which may include, without limitation, denial-of-service attacks, strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, terrorism, pandemics, governmental action, labour conditions, earthquakes, material shortages, extraordinary internet congestion or extraordinary connectivity issues or failure of a third party host, (each a “Force Majeure Event”). Upon the occurrence of a Force Majeure Event, we will be excused from any further performance of the obligations which are affected by that Force Majeure Event for so long as the event continues.

GDPR Compliance and Global Privacy Rights

When users access or interact with our Services from within the European Union (EU) or European Economic Area (EEA), the processing of their personal data is governed by the EU General Data Protection Regulation (GDPR). Permission acts as a Data Controller for personal information you provide to us and processes that information in accordance with applicable data protection law.

For a full description of our data protection practices, the legal bases on which we process personal data, international data transfer safeguards, and your rights as a data subject (including the right of access, rectification, erasure, restriction, portability, and objection), please review our Privacy Policy. Permission's Privacy Policy is incorporated into these Terms by reference and governs all matters relating to personal data processing.

California Consumer Privacy Act (CCPA) Compliance

If you are a resident of California, you have specific rights under the California Consumer Privacy Act and the California Privacy Rights Act (collectively, "CCPA"). These rights include the right to know, the right to delete, the right to correct, the right to opt out of the sale or sharing of your personal information, and the right to non-discrimination for exercising your privacy rights.

Permission's Privacy Policy is incorporated into these Terms by reference and governs all matters relating to personal data collection, use, disclosure, and your rights thereunder.

Dispute Resolution and Arbitration

Informal Resolution First

Most concerns can be resolved quickly and informally by contacting Permission at support@permission.ai. You agree to attempt to resolve any dispute informally before initiating arbitration or court proceedings.

Agreement to Binding Arbitration

Except as expressly set forth below, you and Permission agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Permission (collectively, “Disputes”) will be resolved through final and binding arbitration, except as set forth under ‘Exceptions to Arbitration’ below.

Arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect.

Location and Procedure

  • Arbitration will take place in San Diego County, California, unless you and Permission agree otherwise or applicable law requires a different venue.
  • The arbitration may be conducted by telephone, video conference, or written submissions, as determined by the arbitrator.
  • The arbitrator shall have authority to award all relief permitted by applicable law, but may not award relief on a class or representative basis.

Exception to Arbitration

This arbitration agreement does not apply to:

  • Claims seeking injunctive or equitable relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights;
  • Claims that may be brought in small claims court, if the claim qualifies and remains within that court’s jurisdiction.

Class Action Waiver

You and Permission agree that Disputes will be resolved only on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Fees and Costs

Arbitration fees and costs shall be governed by the AAA Consumer Arbitration Rules. In addition, if the arbitrator determines that your claim is not frivolous, Permission will reimburse your filing fees up to $500, unless a greater amount is required by law.

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to support@permission.ai within thirty (30) days of the date you first accept these Terms (or any updated Terms that first introduce this arbitration agreement). Your notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provisions of these Terms.

Survival

This arbitration agreement survives termination of your account or relationship with Permission.

Modifications to Terms

You should review these Terms of Use regularly as they may change. We reserve the right to update the Terms of Use from time to time by posting a new Terms of Use in the Services (e.g., posting on the website or in the settings tab of our mobile applications) and the “date of last revision” at the top of this page will be revised. You should consult the Terms of Use regularly for any changes, and any use by you of the Services after such changes have been posted constitutes acceptance of those changes. In addition, for material changes to these Terms of Use, as determined in our sole discretion, we will include a notice on the Services that directs users to a copy of the latest Terms of Use for review and/or send a communication to users notifying them of changes. If the modified Terms of Use are not acceptable to you, your only recourse is to cease using the Services.

Permission’s failure to exercise any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is found by a court to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision and the other provisions of these Terms of Use will remain in full force and effect. These Terms of Use are provided in the English language and all communications and notices to be made or given pursuant to these Terms of Use will be in the English language.

Miscellaneous

Severability

If any provision of these Terms of Use is illegal or unenforceable under applicable law, the remainder of the provisions will be amended to achieve as closely as possible the effect of the original term, and all other provisions of these Terms of Use will continue in full force and effect.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
